1. Introduction

1.1 By checking the corresponding checkbox on the OakBridge platform available at https://oakbridges.finance or any of its subdomains (the "Platform") when creating an account, you are accepting these Terms of Service and thus agreeing that you will abide by these Terms of Service and any other terms displayed on the Platform (collectively, the "Agreement"). The Agreement is between OakBridge ("we", "our" or "OakBridge") and (a) you on your own behalf as an individual, and (b) the entity on whose behalf you are accessing and using the Platform and Services (as hereafter defined), whether as an employee, associated person, independent contractor, agent, or in a similar representative capacity ((a) and (b), collectively "you" and "yourself"), and governs your access to and use of the Platform and the services and applications offered by OakBridge thereon (collectively, the "Services"). OakBridge provides investment brokerage and permits qualified individuals to invest in private equity funds via the Platform.

OAKBRIDGE HAS THE RIGHT TO CHANGE THE PLATFORM, THE SERVICES AND/OR THIS AGREEMENT AT ANY TIME WITHOUT PRIOR NOTICE, WHETHER AS A RESULT OF CHANGES IN LAW, RULE, REGULATION OR POLICY OR OTHERWISE. THEREFORE, EACH TIME YOU ACCESS OR USE THE PLATFORM OR THE SERVICES, YOU SHOULD VISIT AND REVIEW THE THEN-CURRENT AGREEMENT. YOUR CONTINUED ACCESS AND/OR USE OF THE PLATFORM AND/OR THE SERVICES CONSTITUTES ACCEPTANCE OF SUCH CHANGES. NOTWITHSTANDING THE ABOVE, ANY CHANGES THAT HAVE A MATERIAL ADVERSE EFFECT ON THE SERVICES, SHALL BE NOTIFIED TO YOU AT LEAST 30 DAYS IN ADVANCE.

1.2 Capitalized terms used herein are defined in Section 12 (Definitions) of these Terms of Service.

2. General Securities Laws Principles

2.1 You acknowledge and understand that: (a) The investment opportunities and securities described on the Platform are being offered, sold and made available in reliance upon an exemption from registration under the Securities Act of 1933, as amended, and similar exemptions under state laws and (b) the investment opportunities and securities are not registered under any federal or state securities laws.

2.2 The interests in the funds and any other securities offered on or through the Platform may not be resold absent registration under any applicable securities laws unless an exemption from registration is available.

3. User Obligations

3.1 You shall use the Platform and Services only for lawful purposes and in accordance with the Agreement.

3.2 You agree not to use the Platform or Services in any way that violates any applicable federal, state, local, or international law or regulation.

3.3 You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Privacy and Protection of Personal Information

4.1 OakBridge respects your privacy and is committed to protecting your personal data. Our Privacy Policy explains how we collect, use, and protect your personal information.

4.2 By using our Platform and Services, you consent to the collection and use of your information as described in our Privacy Policy.

5. Ownership of Platform, Services and Content

5.1 The Platform, including all content, features, and functionality, is owned by OakBridge and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 You may not copy, modify, distribute, sell, or lease any part of our Platform or Services without prior written consent from OakBridge.

6. Reservation of the Company's Rights

6.1 OakBridge reserves the right to modify, suspend, or discontinue the Platform or Services at any time without notice.

6.2 OakBridge reserves the right to refuse service to anyone for any reason at any time.

7. Scope of OakBridge's Obligations

7.1 OakBridge provides access to institutional-grade investment opportunities across real estate, private equity, and global equities. Our Investment Committee, guided by former Goldman Sachs senior advisors, performs rigorous due diligence on all opportunities presented on the platform.

7.2 While OakBridge provides detailed investment information and performance data, all investment decisions are made solely by you. You are responsible for evaluating whether specific opportunities align with your investment objectives, risk tolerance, and financial circumstances. OakBridge does not provide personalized investment advice.

8. Term and Termination

8.1 This Agreement shall remain in full force and effect while you use the Platform or Services.

8.2 OakBridge may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of this Agreement.

9. Disclaimers, Limitations, Waivers of Liability

9.1 THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 OAKBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES.

10. Indemnification

10.1 You agree to defend, indemnify, and hold harmless OakBridge and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of this Agreement or your use of the Platform.

11. Miscellaneous

11.1 This Agreement constitutes the entire agreement between you and OakBridge regarding the use of the Platform and Services.

11.2 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

11.3 Any disputes arising under this Agreement shall be resolved by the courts of England and Wales with exclusive jurisdiction in London.

12. Definitions

"Agreement" means these Terms of Service and any other terms displayed on the Platform.

"Platform" means the OakBridge platform available at https://oakbridges.finance or any of its subdomains.

"Services" means the services and applications offered by OakBridge on the Platform.

"OakBridge" means OakBridge and its affiliates.

European Union

OakBridge operates under applicable EU financial services regulations. The platform serves qualified investors across European markets while maintaining compliance with relevant securities and investment regulations in each jurisdiction. Cross-border investment services are provided subject to local regulatory requirements.

Singapore

OakBridge Singapore operations (138 Market Street, Level 6, CapitaGreen #648, Singapore 048946) serve qualified investors in the Asia-Pacific region. The platform operates under applicable Singaporean financial services regulations and serves investors meeting local accreditation standards.

Investment opportunities presented to Singapore-based investors undergo rigorous due diligence by OakBridge's Investment Committee guided by former Goldman Sachs senior advisors. All cross-border investment services comply with relevant securities regulations.

United Kingdom

OakBridge Limited is a UK-registered company with headquarters in London, England. Registered with Companies House under company registration number 11474307. The platform operates under UK financial services regulations and serves qualified investors meeting applicable regulatory criteria. All investment opportunities undergo rigorous due diligence by our Investment Committee guided by former Goldman Sachs senior advisors.

United States

OakBridge serves US-based qualified investors subject to applicable securities regulations. Investment opportunities presented on the platform are offered to accredited investors as defined under Regulation D of the Securities Act of 1933. OakBridge provides investment opportunity access and due diligence information but does not provide personalized investment advice or recommendations with respect to specific securities.

Switzerland

This website is not intended for distribution to, or use by, any person in Switzerland. OakBridge is not licensed or authorized by FINMA to operate in Switzerland.

Australia

OakBridge does not hold an Australian Financial Services License and is not authorized to provide financial services in Australia. This website is not intended for Australian residents.

Performance Not Guaranteed

Historical Performance: OakBridge has delivered 20.4% average annual returns since 2012 with thirty-six consecutive monthly distributions. However, past performance is no guarantee of future results. Individual investor returns vary based on investment timing, asset selection, market conditions, and holding periods. Historical returns reflect aggregate platform performance and do not represent guaranteed future returns.

Risk Factors: All investments carry risk including potential loss of principal. Real estate values fluctuate with economic cycles and property-specific factors. Private equity investments involve illiquidity, concentration risk, and operational uncertainties. Global equities experience market volatility and currency fluctuations. Fixed monthly distributions are subject to asset performance and may be reduced or suspended based on market conditions.

Investment Suitability: Opportunities presented on OakBridge are suitable only for qualified investors who understand alternative investment risks and can afford potential loss of invested capital. Consult qualified financial advisors before making investment decisions.

Comprehensive Risk Disclosure

Investment Risk: All investment opportunities involve substantial risk including potential loss of principal. Real estate investments are subject to property market cycles, tenant default, maintenance costs, interest rate fluctuations, and geographic concentration. Private equity involves operational risk, leverage risk, illiquidity, and dependence on management execution. Global equities experience market volatility, currency risk, geopolitical uncertainty, and sector-specific challenges.

Illiquidity: Most opportunities presented on OakBridge involve illiquid investments with limited or no secondary market. Investment holding periods typically range from 1 month to 2 years, during which capital is not readily accessible. Early withdrawal may not be possible or may result in substantial penalties or losses. Investors should only allocate capital they can afford to have locked for the specified investment duration.

Diversification Limitations: While OakBridge provides multi-asset diversification across real estate, private equity, and global equities, diversification does not eliminate risk or guarantee positive returns. Correlated market events may impact multiple asset classes simultaneously. Concentration in specific geographies, sectors, or property types may amplify losses during adverse market conditions.

Distribution Risk: Fixed monthly distributions are based on asset performance and are not guaranteed. Real estate rental income depends on occupancy rates and tenant creditworthiness. Private equity distributions depend on portfolio company performance and exit timing. Global equity dividends may be reduced or eliminated by company boards. OakBridge reserves the right to suspend or modify distributions based on asset performance and market conditions.

Regulatory and Tax Risk: Changes in securities regulations, tax laws, or cross-border investment rules may impact investment returns or platform operations. Investors are responsible for understanding tax implications in their jurisdiction and should consult qualified tax advisors before investing.

Investor Qualification: OakBridge serves only qualified investors meeting minimum financial criteria and regulatory requirements in their jurisdiction. Minimum investment of €500 applies. Investors must be able to afford complete loss of invested capital and understand the illiquid nature of alternative investments. Independent financial advice is strongly recommended before allocating capital to any opportunity on the platform.
